DyZen Med Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern access to and use of DyZen Med’s services, software, and website (the “Service”).

By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to that organization.

2. Nature of the Service

DyZen Med is an AI-assisted medical record intelligence platform designed to extract, organize, and structure medical records for review.

The Service is a physician-assist and chart-review tool. It is not intended to:

• Provide medical advice or diagnoses
• Determine causation, impairment, or disability
• Render legal conclusions
• Replace clinical or professional judgment

DyZen Med may assist users in reviewing and understanding information, but all interpretation, analysis, and decision-making remain the responsibility of the user.

3. Eligibility and Appropriate Use

DyZen Med is designed primarily for use by professionals such as physicians, attorneys, and other individuals engaged in medical or medical-legal record review. The Service may also be used by individuals for lawful purposes where appropriate.

You may use the Service only if you:

• Have the legal authority to access and process the records you upload
• Use the Service in compliance with applicable laws, regulations, and professional obligations
• Ensure that your use of the Service is appropriate for the nature of the data involved

DyZen Med does not verify user credentials or professional status and relies on users to act within their legal and ethical obligations.

4. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your login credentials
• Restricting access to authorized users only
• All activity that occurs under your account

You must promptly notify DyZen Med of any unauthorized access or security concerns.

5. Acceptable Use

Your use of the Service must comply with these Terms and the Acceptable Use Policy.

You agree not to:

• Upload or process records without proper authorization or legal right
• Use the Service as a substitute for professional judgment
• Represent outputs as definitive conclusions, diagnoses, or legal determinations
• Attempt to reverse engineer, scrape, or interfere with the Service
• Use outputs to train or develop competing systems

DyZen Med reserves the right to suspend or terminate access for misuse.

5a. Protected health information

Use involving protected health information may require acceptance of a Business Associate Agreement (BAA) on behalf of your organization, as presented in the Service.

6. Data Handling and Responsibility

DyZen Med processes records solely at the direction of users to generate structured outputs.

You are solely responsible for:

• Ensuring that you have the legal right to upload and process data
• Obtaining any required consents or authorizations
• Reviewing and validating all outputs before use

DyZen Med does not independently verify the accuracy, completeness, or legal status of uploaded data.

7. Billing and Payment

If you purchase paid access, you agree to the pricing and billing terms presented at the time of purchase.

• Payments may be processed by third-party providers
• You are responsible for applicable taxes and fees
• Fees are non-refundable unless required by law or expressly stated

DyZen Med may suspend or terminate access for non-payment.

8. Suspension and Termination

DyZen Med may suspend or terminate access to the Service at any time, including for:

• Violations of these Terms or applicable policies
• Misuse of the Service
• Security, legal, or operational concerns

You may stop using the Service at any time.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

DyZen Med makes no guarantees regarding:

• Accuracy or completeness of outputs
• Suitability for any specific purpose
• Continuous or error-free operation

All outputs must be independently reviewed and verified by the user.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

DyZen Med shall not be liable for any indirect, incidental, special, or consequential damages, including:

• Errors in interpretation or decision-making
• Use or misuse of outputs
• Loss of data, profits, or business opportunities

DyZen Med’s total liability for any claim will not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

12. Changes to the Service or Terms

DyZen Med may update these Terms or modify the Service at any time.

Material changes will be communicated where appropriate. Continued use of the Service constitutes acceptance of the updated Terms.
